replace processor with 17

core duo processor ,maxed on ram. wondering if it is possible to change out processor for i7 quad 2.33ghx unit?

No, it is not possible since the core 2 duo processors have a different socket than the core i series processors. They will not fit physically and even if it did, they have different power requirements.

If the socket in your imac is the LGA775 then they have the Core 2 Quad (quad core) processors that will fit but again I am not sure if they will work on the imacs.
