Panic error, not loading, wtf!

I have an issue with my MacBook.
my cpu felt a little slow (has a 2 x 8gb update for around 2 years now...) past few weeks.
Today I turned it off and back on again, - and started getting an error during start up -
"Panic cpu 0 caller 0xffffff800119b084): launchd exited (signal 10, exit status 0)
Debugger called: <panic>
Then it says some uuid info and Thread 0 crashed"....
I've tried everything possible in terms of removing RAM and replacing with other RAM, PRAM reset, installing older OS X (it failed to install) - disk utility worked, first aid said my HD is fine...
Verbose mode, safe mode, recovery mode!
Now it starts up, 5 seconds later - a new error:
"Panic (cpu 2 caller 0xffffff8005b9654e): process 1 exec of /sbin/launchd failed, errno2"@/Library/Cache...." it goes on.....
It's now restarting over and over again...
Was using Yosemite with no problem for a month or so.
Any clue? :(
